DESCRIPTION: Analyze business operation with respect to financing, contracts, etc. Draft contracts including co-financing & distribution agreemetns, for license & consulting engagements. Coordiante the drafting of contract with the company internally, & foreign companies externally. Consult & work in partnership with outside counsel drafting contract as necessary. Utilize knowledge of foregin, & especially European law in particular to negotiate, evaluate & develop investment relationships & distribution agreements for Relativity produced films. Prepare loan & security documentation. Advise & act as a liaison for investors, answering investors' accounting and tax question & advising investors with respect to restructuring their investments. Provide invesotrs with financial and film data analysis. Prepare confidentiality agrements in coorperation with securities and finance counsel. Perform review and analysis of unsolicited proposals and make appropriate recommendations. Impelement film financing | |
